This Affiliate Agreement governs and sets out the terms and conditions of the cooperation between a Webmaster (hereinafter referred as You) and us, (hereinafter referred as the Website). Please study this Agreement carefully before you continue to use the Website and proceed to participate in the Affiliate program.

By visiting the Website on any browser and on any device, you fully accept all the terms and conditions of this Agreement. You become bound to comply with the terms of this Agreement throughout the entire period of using the Website, including registering for and participating in the Affiliate Program.

The terms of this Agreement are binding upon the provision of your consent to all the terms and conditions set out in this Agreement.

Affiliate agreement

General provisions

This Affiliate Agreement constitutes the entire contract between you and the Website, EduPartenrs.cc. You and we should not rely on any written or oral information that is not set forth or referred to in this Agreement.
Your or our failure to comply with any term of this Affiliate Agreement shall not constitute a waiver of the right to enforce this or any other term of this Agreement.
Notices and reports under this Affiliate Agreement shall be deemed received within one day from the date the notice or report is sent.
Nothing in this Agreement is intended to establish any form of partnership, employment or joint venture between you and us. Neither you or we can act as agents on behalf of each other, nor can you or we enter into any contracts or agreements on behalf of each other or as representatives of each other.
Nothing in this Agreement creates obligations for third parties. No third party is bound by this Agreement and has no rights arising from it.
Communication between you and us shall be done in English, Ukrainian, or Russian. Messages, inquiries, requests, registration forms and consents shall be sent out by any of the available means.
If any term of this Agreement is found to be invalid by any competent authority, that term shall be amended, modified, or interpreted in a way allowing to contain more of the actual content and meaning that will render it enforceable.
The headings in this Agreement are intended to make this Agreement easier to understand. Headings do not affect the content and meaning of the provisions placed under specific headings. Headings cannot be used to interpret the terms and conditions of this Affiliate Agreement.
This Agreement may be modified, supplemented or changed at our sole discretion without any prior notice.
This Agreement is an agreement concluded in electronic form. The electronic form of this Agreement has the same legal force as if it were signed.
This Agreement was last updated on March 11, 2022.

The Scope and Force of the Agreement

This Agreement defines and governs the cooperation between you and us regarding the Website and the Affiliate Program.
The Agreement is binding on you if you perform any of the following actions:

- open the Website in any browser on any device,
- browse the Website,
- complete affiliate registration process,
- become an Affiliate in the process of registration or a Partner based on additional negotiations and contract,
- participate in the Affiliate program
- terminate participation in the Affiliate program
- terminate your cooperation as a Partner, as well as
- terminate the use of the Website

As stated above, by accessing the Website via any browser and device, you signify your full acceptance of all the terms and conditions of this Agreement.
We may additionally seek your consent from time to time at our discretion.

The conclusion of this Agreement implies that you fully understand and accept all the terms and conditions of this Agreement and agree to be bound to follow the regulations as set further.
Only if you accept the terms of this Agreement you can start using the Website; otherwise, its use is considered unlawful. If you do not agree to any term of this Agreement, you shall stop using the Website immediately.

Use of the Website

In order to provide a better service and optimize experience, we distinguish between your stay on the Website as a Visitor and as an Affiliate or a Partner. A Visitor just browses the Website, while an Affiliate participates in the Affiliate Program.
Any person can be a Visitor of the Website. We provide every visitor with permanently free access to the Website. You have the right to access the Website from any browser for informational purposes. Any other use of the Website shall be possible only upon our written approval.
Our Website intends only to introduce the opportunities offered by our Affiliate Program. We do not provide any private or public offers to visitors to our Website.
If you wish to participate in our Affiliate Program, you need to complete registration procedure. To do so, you need to fill out the registration form and submit it by clicking the "Register" button.
By clicking the "Register" button, you confirm your consent to receive messages, notifications, advertising and promotional materials via any means, such as e-mail or other messengers.
We will ask you to provide us certain information in the registration form. We may use the obtained contact information for advertising and marketing purposes to inform you about special offers, etc. We may notify you of the main stages of our cooperation through e-mail and other means of communication.
In any case, any of your personal and contact information provided to us is subject to the Privacy and Cookie Policy.
If you decide to stop receiving our emails and notifications, contact us with appropriate notice. Upon receipt of such notice, we will stop sending you emails immediately.
For your convenience, our communication will be governed by the following rules:

all our emails will always include the sender's contact information (such as Website name, contact phone number), and an unsubscribe link;
our promotional messages will always be all marked as promotional;
the sender's contact information will be available for at least 30 days since the date of the mailing;
all complaints about subscriptions, as well as responses to promotional mailings, will be processed without any unreasonable delays;
any feedback, complaints, requests to stop mailings and cancellation of subscription will be handled free of charge.

Affiliate Program

Affiliate program involves a special form of cooperation between you and us. The affiliate program helps to increase traffic through various technical and marketing means.
You can become an Affiliate within our Affiliate Program by confirming your account. Account confirmation email will be sent to you after you register as described above.
When you join our Affiliate Program, we will provide you with promotional materials to increase traffic through technical and marketing means. Promotional materials include various links, banners, widgets, etc., as well as WordPress templates.
You may place these promotional materials on your own web pages or any web pages of third parties, provided that you have obtained the right to do so. Visitors to your or any other web pages may be redirected to certain web pages by clicking on promotional materials.
We reserve the intellectual property rights connected to the provided promotional materials. In any case, intellectual property rights to the provided Promotional Materials are not transferred and remain our intellectual property.
To authorize you to legal right to use these promotional materials, we grant you a limited and non-exclusive license to use them. Any actions aimed at making a profit from the promotional materials, or actions not specified in this Agreement, are strictly prohibited. This license agreement is valid for 6 months from the date of completing your registration.
Provided that you comply with the terms and conditions of this Agreement, we provide monetary rewards for any order or purchase made using the promotional materials. The procedure and the amount of commission are described below.
To keep promotional materials up-to-date, we may review and revise existing promotional materials at our sole discretion without prior notice.
In case of any violation of this Agreement by a Webmaster, we may terminate cooperation with such a Webmaster participating in our Affiliate Program unilaterally without prior notice. As well, subject to the written request you may terminate the Affiliate program for you. We will consider and review such a request within reasonable time.
Termination of cooperation with Affiliate Webmasters will revoke their license to limited use of Promotional Materials.
You can attract and bring other Webmasters (hereinafter referred to as Referrals) to cooperate within the framework of our Affiliate Program. Attracting Referrals will give you the opportunity to receive additional monetary rewards, the procedure and scope of which are set out below.

Acceptable Use

We strive to make your experience of using the Website and cooperation within the Affiliate Program safe and secure for both you and us. Therefore, we introduce certain restrictions that apply to the Affiliate Agreement and the limited license to the use of promotional materials.
Underage people are not eligible to use the Website and participate in the Affiliate Program. In order to verify your eligibility to participate in the Affiliate Program based on age, refer to the legislation of your country. By becoming our Affiliate, you confirm that you have reached the legal age for such cooperation.
You are prohibited to use the Website or our promotional materials for any misleading, deceptive, illegal, or unethical purpose.
By doing so, you confirm your agreement with a ban on the use of:

leads generated through any methods, including automatic, artificial and fraudulent methods,
traffic generated through spam, including spam emails,
traffic generated through unauthorized access to contact details and any other private information,
technologies generating fictitious orders.

Reward

An Affiliate will receive a monetary reward for successful performance under the conditions of the Affiliate Program. To receive your commission, you must fulfill the following requirements:

fully comply with the terms and conditions set forth in this Agreement;
involve fully paid orders received through the use of promotional materials.

In the event that all of the above conditions are fully met, an Affiliate may receive a monetary reward in the following amounts:

up to 70% of the price of the first placed and paid order by a new client due to your efforts,
up to 55% of the value of each rebill order, and
not less than 4% of the amount of earnings of your Referrals.

The reward system will be changed and negotiated individually for Affiliate Webmasters that file their request to become our Partner and qualify for becoming one.
If a client pays for the order using the credit store (the unused money from previous orders), no commission is paid for it, since the commission has already been paid on the previous order.
If a client makes an unreasonable chargeback or files for unjustified refund that is paid to them, no commissions can be paid on such orders.
As a rule, commissions are paid upon request with a 1 month hold for mitigating revision and refund/chargeback risks.
The minimum sum for the first payout is $200.
In order to ensure timely and correct payments, you shall notify us of any changes in your personal data or payment details.

Anti-Fraud Policies

To ensure long-term and mutually beneficial cooperation, we adopt the following anti-fraud policy:

- we reserve the right to check orders received due to Affiliate Webmaster’s effort without prior notice (verification is carried out by actually confirming the customer's order, as well as verifying the identity of the customer through a telephone conversation or requesting the necessary documents from the customer by the technical support service),
- we reserve the right to withhold the commission for up to one month. In such a case, we will not process the first transaction until one month passes from the date of the payment request.
- we reserve the right to block an Affiliate's account along with current balance in the event of fraud or brand damage caused by the Affiliate.
- we reserve the right to block an Affiliate's profile and not pay the commission if the Affiliate misleads clients when attracting them, as well as in other ways that involve deceiving users.
- in case of inappropriate actions, the Affiliate will be notified about them by e-mail or other established means of communication. An Affiliate has the right to request information about the status of customer confirmation or customer orders, without asking for confidential information related to customers or the system. Technical Support reserves the right not to disclose all information, if necessary.
- we reserve the right to ban an Affiliate’s account for any illegal actions and report violations to the appropriate authorities.

Limitation of liability

We seek to clearly determine your and our liabilities to mitigate any risks possible on both your and our side. In this regard, the following set of rule applies to any person liable.

You release us, our employees, directors, agents, shareholders, representatives, Referrals, partner companies, advertising and promotion agencies, any other service providers, and legal advisers from liability for causing any harm, damage, rights, claims, and other negative consequences that may arise from or relate to the Affiliate Program, including but not limited to:

breakdown or malfunctions of the phone line, equipment, software, Internet, information network, e-mail, etc.,
unsuccessful, incomplete, falsified, or delayed computer transmissions and mailings,
any action taken outside of our control that could be detrimental to our Affiliate Program,
any damage or loss resulting from the use of our services,
any typographical errors in any materials provided through our services.

We will not be liable in cases including but not limited to the following:

- If you do not understand and/or remember the terms and conditions of this Affiliate Agreement,
- If you do not achieve the desired result using our Affiliate Program,
- If you abuse our Affiliate Program,
- If you experience undesired consequences while using our Affiliate Program.

You take full responsibility for any expenses and additional fees associated with processing transactions when using our Affiliate Program.
You agree to defend, indemnify and hold us, our affiliates, and your Referrals harmless from any claims, actions or representations, including legal fees, if such arise due to or from your use of our services, your violation or non-compliance with the terms of this Agreement, violation of the rights of a third party, and any other acts or omissions by you.
We are not responsible for any direct, indirect, incidental, special purpose or consequential damages arising from the use of the Website or the information provided on the Website.
We are not responsible for any damages arising from the performance of this Agreement, the use or inability to use the Website or any material posted on the Website, or for any action or decision taken as a result of using the Website.
Our Website contains links to other websites and allows you to visit other web pages directly from the Website. We are not responsible for the content of linked sites, as well as for the information that is provided on those sites. We are not responsible for any transmission of data when you visit those websites.
Neither we, any our affiliate or partner can be liable for any unethical, inappropriate, wrongful or illegal use of the Affiliate Program. This relates to plagiarism, lawsuits, loss of positions or monetary rewards, resignation, termination of cooperation, and any other disciplinary and legal consequences. You assume full responsibility for any disciplinary and legal consequences arising from the misuse, unethical and/or illegal use of the materials.
We are not responsible for delays or technical problems resulting from a malfunction of the mail servers or ISP.

Privacy and Cookies Policy
